These Terms of Use and Coaching Disclaimer ("Terms") constitute a legally binding agreement between you and Marc G Coaching, LLC ("Company," "we," "us," or "our") governing your access to and use of www.marcgcoaching.com, including all content, communications, programs, services, products, materials, and functionality (collectively, the "Services"). By accessing, browsing, or using the Services in any manner, you irrevocably acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not agree to these Terms, you are expressly prohibited from accessing or using the Services.
Eligibility and Authorized Use
You represent, warrant, and affirm that you are at least eighteen (18) years of age and possess the full legal capacity to enter into binding agreements. Your access to the Services is expressly conditioned upon your compliance with these Terms. You agree to use the Services solely for lawful purposes and in good faith. Any unauthorized, unlawful, abusive, or improper use of the Services is strictly prohibited and may result in immediate termination of access without notice and may subject you to legal action.
Educational and Informational Purposes Only
All Services are provided strictly for educational and informational purposes. The Services do not constitute, and shall not be construed as, medical advice, psychological treatment, mental health care, therapy, counseling, legal advice, financial advice, or any other licensed professional service. The Company expressly disclaims any representation that the Services constitute licensed professional advice. You acknowledge that you are solely responsible for obtaining appropriate licensed professional services where necessary and assume full responsibility for any reliance on the Services.
Non-Clinical Coaching Disclaimer
The Services consist exclusively of non-clinical coaching services. Coaching is not healthcare, therapy, counseling, medical treatment, legal advice, or financial advisory services. The Company does not diagnose, treat, prevent, or cure any medical, psychological, or mental health condition. Coaching is not a substitute for licensed professional care. You acknowledge and agree that you are solely responsible for your decisions, actions, and outcomes.
No Fiduciary Relationship or Special Duty
You expressly acknowledge and agree that no fiduciary, advisory, employment, partnership, joint venture, agency, or special relationship exists between you and Marc G Coaching, LLC. The Company does not assume any fiduciary duty, obligation, or responsibility to act on your behalf or in your best interest. You retain sole and exclusive responsibility for all decisions, actions, and outcomes.
Independent Decision-Making and Personal Responsibility
You acknowledge and agree that all decisions made by you are made voluntarily, independently, and solely by you. The Company does not control, direct, or make decisions on your behalf. Any actions taken based on the Services are undertaken entirely at your own discretion and risk.
No Reliance and No Guarantee of Results
You expressly acknowledge that you are not relying upon the Company as a substitute for licensed professional advice. The Company makes no representations, warranties, or guarantees regarding any specific results or outcomes. Results vary based on individual effort, decisions, and circumstances beyond the Company's control.
Assumption of Risk
You knowingly, voluntarily, and irrevocably assume all risks associated with your use of the Services. You accept full responsibility for all decisions, actions, and outcomes arising from your participation.
Emotional and Psychological Disclaimer
You acknowledge that coaching may involve emotional reflection, personal exploration, and psychological stress. You agree that the Company shall not be liable for any emotional distress, psychological impact, relational consequences, or personal outcomes arising from your use of the Services.
Maximum Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARC G COACHING, LLC SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, LOSSES, OR LIABILITIES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, LOSS OF BUSINESS, LOSS OF INCOME, LOSS OF PROFITS, LOSS OF OPPORTUNITY, PERSONAL LOSSES, EMOTIONAL DISTRESS, OR RELATIONSHIP OUTCOMES. THE COMPANY'S TOTAL LIABILITY SHALL NEVER EXCEED THE TOTAL AMOUNT PAID BY YOU FOR SERVICES.
Comprehensive Release and Waiver
You irrevocably release, waive, and discharge Marc G Coaching, LLC and its owner, officers, employees, contractors, agents, affiliates, successors, and assigns from any and all claims, liabilities, damages, or causes of action arising from your use of the Services, including claims arising from negligence to the fullest extent permitted by law.
Intellectual Property Protection
All content, materials, branding, methodologies, frameworks, documents, videos, downloads, and intellectual property are the exclusive property of Marc G Coaching, LLC and are protected by applicable intellectual property laws. Unauthorized use, reproduction, distribution, or modification is strictly prohibited and may result in legal action.
Digital Product License
All digital materials are licensed, not sold. Your license is personal, limited, non-exclusive, non-transferable, and revocable. Unauthorized sharing, copying, or distribution is strictly prohibited.
Payment Terms and Chargeback Protection
You agree to pay all fees associated with Services. You agree not to initiate fraudulent or improper chargebacks. The Company reserves the right to suspend or terminate access in response to payment disputes.
Electronic Communications and Technology Risks
You acknowledge that electronic communications involve inherent risks. You accept full responsibility for these risks.
Confidentiality
The Company respects confidentiality but may disclose information where required by law or necessary to prevent harm.
Third-Party Services
The Company is not responsible for third-party platforms or services.
Website Availability and Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. The Company disclaims all warranties of any kind.
Prohibited Uses
You agree not to misuse, disrupt, or attempt unauthorized access to the Services.
Right to Refuse or Terminate Access
Marc G Coaching, LLC reserves the absolute and unrestricted right to terminate access at any time, for any reason, without liability.
Indemnification and Duty to Defend
You agree to fully indemnify, defend, and hold harmless Marc G Coaching, LLC and its owner, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses, including attorney’s fees and legal costs, arising from or relating to your use of the Services, your decisions, your actions, or your violation of these Terms. This obligation survives termination indefinitely.
No Assignment or Transfer
You may not assign, transfer, delegate, or convey any rights under these Terms without prior written consent from Marc G Coaching, LLC. Any attempted assignment without consent shall be null and void. Marc G Coaching, LLC reserves the unrestricted right to assign these Terms. This provision survives termination.
Force Majeure
The Company shall not be liable for failures or delays beyond its reasonable control.
Governing Law and Exclusive Jurisdiction
These Terms shall be governed exclusively by the laws of the State of New Jersey.
Mandatory Binding Arbitration and Waiver of Jury Trial
Any dispute shall be resolved exclusively through binding arbitration in New Jersey. You waive any right to trial by jury or participation in class actions.
Severability
If any provision is unenforceable, the remaining provisions remain in effect.
Survival
All protective provisions survive termination indefinitely.
Modifications
The Company reserves the right to modify these Terms at any time.
